Terms of Service

The contract between you, a licensed U.S. attorney, and Scrivly, Inc. d/b/a Aewita. Written in plain English first; the full terms follow.

Plain English. You're a licensed U.S. attorney. You use Aewita to research, draft, and manage matters. We don't call any external LLM. We don't train on your content. You pay $99/month or $720/year. Either of us can end this at any time. The full terms follow.

1. About these Terms

These Terms of Service ("Terms") form a binding agreement between you and Scrivly, Inc., a Delaware C-Corporation doing business as Aewita ("Aewita," "we," "us"). They govern your use of the marketing website at aewita.com, the application at app.aewita.com, the Model Context Protocol endpoint at mcp.aewita.com, and all related services (collectively, the "Service").

Aewita is a legal AI platform for U.S. attorneys. We self-host a frontier reasoning model on U.S. infrastructure. When you use Aewita, no part of your query or your firm's content is sent to OpenAI, Anthropic, Google, or any other third-party LLM provider. That is a structural property of the Service, not a toggle.

By creating an account or using the Service you accept these Terms. If you do not accept them, do not use the Service.

2. Eligibility

The Service is intended for attorneys admitted to the bar of at least one U.S. jurisdiction. To use Aewita you represent that:

  • You are at least 18 years old.
  • You are licensed to practice law in at least one U.S. state, territory, or federal court.
  • You are in good standing with every bar to which you are admitted.
  • If you are signing up on behalf of a firm or other entity, you have authority to bind that entity, and references to "you" include both you and the entity.

We do not currently serve consumers, pro-se litigants, law students, or non-U.S. practitioners. If that changes, we will publish separate terms for those audiences.

3. Your account

You must provide accurate registration information, including your name, bar jurisdiction, firm (if any), and a working email address. You are responsible for keeping your credentials confidential. We strongly recommend enabling multi-factor authentication on your account.

Each account is for a single human. Sharing a login between attorneys is a breach of these Terms and may also breach your own professional conduct obligations around confidentiality and competence. Firms that need multiple seats should contact sales@aewita.com.

You are responsible for all activity that occurs under your account. Notify security@aewita.com immediately if you suspect unauthorized access.

4. Acceptable use

You may use Aewita to:

  • Conduct legal research across primary and secondary sources.
  • Draft memoranda, briefs, contracts, correspondence, and other work product.
  • Organize and query your matters, including files you have the right to upload.
  • Connect Aewita to your document management system (NetDocuments, iManage) within scopes you authorize.

You may not use Aewita to:

  • Reverse-engineer, decompile, or extract weights or training data from our model.
  • Upload content you do not have the right to use, including privileged content belonging to a non-client third party.
  • Violate your professional conduct obligations, including your duties of confidentiality, competence, candor, and supervision of non-lawyer assistance.
  • Conduct bulk automated scraping of the Service, probe the underlying infrastructure, or circumvent rate limits.
  • Use the Service to violate law, including sanctions, export-control, or anti-discrimination law.
  • Resell the Service, use it to train a competing model, or provide access to non-attorneys without our written consent.

5. Content ownership and licenses

You retain all right, title, and interest in content you upload to Aewita, including client files, matter notes, and drafts you produce using the Service ("Customer Content"). We do not claim any ownership interest in Customer Content.

To provide the Service, you grant us a limited, non-exclusive license to host, process, transmit, index, and display Customer Content for the sole purpose of delivering the Service to you. This license exists only while your account is active and during the post-termination export window described in section 16.

We do not train our models on Customer Content. This is enforced in our architecture: Customer Content never enters a training pipeline, a fine-tuning corpus, or any model-improvement process. We also do not use Customer Content to generate aggregate statistics that are shared outside Aewita.

6. Subscription, billing, and trial

Aewita offers two plans for individual attorneys: $99/month (billed monthly) or $720/year (billed annually, a 39% discount). Firm plans are available through sales@aewita.com.

New accounts receive a 14-day free trial at signup. If you do not cancel before the end of the trial, your payment method is charged on day 15 for your selected plan and automatically on each renewal date thereafter until you cancel.

You may cancel at any time from your account settings. Cancellation ends the Service at the close of the current billing period; you retain access until then. We do not refund partial periods except where required by law. Taxes, if any, are your responsibility except where we are legally required to collect them.

We use Stripe to process payments. We do not store card numbers on our servers.

7. Professional responsibility notice

Aewita is a tool, not a lawyer. Using Aewita does not create an attorney-client relationship between you and Aewita or between your client and Aewita.

You remain solely responsible for your professional conduct under the ABA Model Rules of Professional Conduct and the rules of every jurisdiction where you are admitted, including but not limited to your duties of competence (Rule 1.1, including Comment 8 on technology), confidentiality (Rule 1.6), candor to the tribunal (Rule 3.3), and supervision (Rules 5.1 and 5.3). AI output may be incomplete, incorrect, or outdated. You must review every Aewita output before using it with a client, court, or counterparty.

8. Confidentiality of customer content

We treat Customer Content as confidential. Specifically:

  • No third-party LLM receives any portion of Customer Content. Inference runs on infrastructure we operate.
  • Inference for U.S. customers runs on U.S. infrastructure. We do not route queries through facilities outside the United States.
  • Access to production systems is limited to a small number of named engineers under a least-privilege policy. Every access to Customer Content is logged.
  • Firm administrators can export their firm's audit log on request.

9. DMS integrations

If you connect Aewita to a document management system such as NetDocuments or iManage, Aewita accesses only the workspaces, cabinets, and files allowed by the OAuth scope you grant. You can revoke the connection from within Aewita or from the DMS at any time; revocation ends Aewita's ability to read new content, and any cached indexes are invalidated on the schedule described in the Privacy Policy.

You are responsible for verifying that your DMS policy permits the integration and for ensuring that the scope you grant is consistent with your ethical and contractual obligations to clients.

10. MCP and outbound integrations

Aewita exposes a Model Context Protocol endpoint at mcp.aewita.com. If you choose to authorize an MCP client (for example, another AI assistant you use) to retrieve content from Aewita, you are responsible for that client's handling of the data it retrieves. We do not control what a third-party MCP client does with data after Aewita hands it off under your authorization.

We recommend restricting MCP access to matters where you have verified the client's confidentiality properties.

11. Availability and support

We target high availability but do not guarantee uninterrupted service. Planned maintenance is announced on status.aewita.com. Incident reports are posted there as well.

Support is available during U.S. business hours (Monday through Friday, 9 a.m. to 6 p.m. Pacific) via sales@aewita.com for commercial questions and a dedicated in-app channel for product issues. Enterprise customers may have separate response commitments in an order form.

12. Warranty disclaimer

Except where prohibited by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI output is accurate, complete, current, or suitable for any specific legal matter. You acknowledge that large language models can and do produce incorrect statements, invented citations, and outdated law, and that mitigation mechanisms in Aewita reduce but do not eliminate that risk.

13. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits or lost data, arising out of or related to the Service, even if advised of the possibility.

Our total aggregate liability for all claims arising out of or related to the Service is capped at the greater of (a) the fees you paid us in the twelve months before the event giving rise to the claim, or (b) $1,000. Some jurisdictions do not allow these limits, in which case they apply to you only to the extent permitted.

14. Indemnification

You will defend, indemnify, and hold harmless Aewita and its officers, directors, employees, and agents from any third-party claim arising out of (a) Customer Content you upload, (b) your use of the Service in violation of these Terms or applicable law, or (c) your breach of your professional conduct obligations. We will promptly notify you of any claim, cooperate in your defense, and allow you to control the defense and settlement, provided no settlement imposes an obligation or admission on us without our written consent.

15. Termination

Either party may terminate these Terms for material breach on thirty (30) days' written notice if the breach is not cured within that window. You may also cancel your subscription at any time through account settings; cancellation ends the Service at the end of the current billing period and does not require cause.

We may suspend or terminate access immediately, with notice where practicable, if we reasonably believe that continued access would (i) cause material harm to the Service or other customers, (ii) violate law, or (iii) present a live security threat. We will work in good faith to restore access once the threat is resolved.

16. Data on termination

After termination you have thirty (30) days to export Customer Content through the in-product export tool or by request to legal@aewita.com. Exports are delivered in standard machine-readable formats alongside your original files.

After the 30-day export window, Customer Content is deleted from production systems within 90 days and rotated out of encrypted backups within 1 year, consistent with the retention schedule in the Privacy Policy. We will confirm deletion in writing on request.

17. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in Wilmington, Delaware, and each party consents to the personal jurisdiction of those courts. The UN Convention on Contracts for the International Sale of Goods does not apply.

18. Changes to these Terms

We may update these Terms from time to time. For material changes we will send you email notice at the address on your account at least thirty (30) days before the change takes effect and will update the "Last updated" date above. Continued use after the effective date constitutes acceptance. If you do not accept the change, you may cancel before the effective date and receive a pro-rated refund for any unused annual subscription.
